• (f) discontinuation of the Services or Software, in part or in whole, if we determine it is no longer feasible to continue providing them due to legal, regulatory, or operational reasons;
• (g) prolonged inactivity in your free or trial account.

Where termination is not due to your fault, we will make reasonable efforts to notify you using the contact information you provided at the time of registration. However, we are not obligated to provide prior notice in all cases.

Termination of your access to the Services or Software does not affect our rights to collect any amounts owed, nor does it affect any other remedies available to us under law or equity.

Survival

Upon termination or cancellation of these Terms, your right to access or use the Services and Software will immediately cease, and certain or all features may become unavailable without prior notice.

However, the following provisions will survive termination and continue to remain in effect: Intellectual Property rights, User Obligations and Conduct, Indemnification, Warranty Disclaimers, Limitations of Liability, Governing Law and Dispute Resolution, and any other provisions which by their nature are intended to survive termination.

North and Central America

For customers located in North or Central America, these Terms are governed by the laws of the Province of Quebec, Canada, without regard to its conflict of laws principles. Any dispute arising from or related to these Terms or the use of the Services and Software shall be subject to the exclusive jurisdiction of the competent courts located in Montreal, Quebec, Canada.

EU, EEA, Switzerland and Other Regions

For customers located in the European Union (EU), the European Economic Area (EEA), Switzerland, or any other region not specified above, these Terms shall be governed by and interpreted under the laws of England and Wales, unless local consumer protection laws require otherwise.

All disputes, controversies, or claims arising out of or in connection with these Terms — including their existence, validity, interpretation, or termination — shall be finally settled under the Rules of Arbitration of the International Chamber of Commerce (ICC). The place of arbitration shall be London, United Kingdom, and the language of the arbitration shall be English, unless the parties mutually agree otherwise. Arbitration shall be conducted by a single arbitrator unless the parties agree to more.

British Virgin Islands Jurisdiction

If you reside in a country not otherwise covered above, these Terms shall be governed by the laws of the British Virgin Islands. All legal proceedings relating to these Terms shall be brought exclusively in the courts of the British Virgin Islands, unless mandatory consumer laws in your jurisdiction specify otherwise.

No Class Actions

You and Baisvik Software Ltd. agree that each party may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any class or representative action. Unless both you and Baisvik agree, no arbitrator or judge may consolidate more than one person’s claims or otherwise preside over any form of a class or representative proceeding.

If a court determines that any part of this class action waiver is unenforceable with respect to a specific remedy, that remedy (and only that remedy) must be severed and may be pursued in court. All other claims and remedies shall remain subject to binding arbitration.

Government Terms

If you are using the Services or Software on behalf of a U.S. government entity, or if these Terms are or become subject to the Federal Acquisition Regulations (FAR), then the Services and Software provided under these Terms are considered “Commercial Products” or “Commercial Services” as those terms are defined in 48 C.F.R. §2.101, including “Commercial Computer Software” and “Commercial Computer Software Documentation,” as applicable under 48 C.F.R. §12.212 and 48 C.F.R. §227.7202.

Pursuant to 48 C.F.R. §12.212 and 48 C.F.R. §227.7202-1 through 227.7202-4, the Commercial Computer Software and Commercial Computer Software Documentation are licensed to United States Government end users (a) only as Commercial Products and Services, and (b) with only those rights granted to all other end users pursuant to the terms and conditions herein. All unpublished rights are reserved under the copyright laws of the United States.

Miscellaneous

English Version

These Terms may be translated into other languages for user convenience. In case of any discrepancies or interpretation conflicts, the English version shall prevail and be considered the authoritative version.

Non-Assignment

You may not assign or transfer your rights or obligations under these Terms, whether in whole or in part, without our prior written consent. Any such attempt will be considered null and void. We may assign our rights and obligations without restriction or prior notice.

Headings

Headings are included for reference and convenience only and shall not affect the interpretation of any provision of these Terms.

Severability

If any part of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue to be valid and enforceable to the fullest extent permitted by law.

No Waiver

Our failure to enforce any provision or right under these Terms shall not be construed as a waiver of our right to enforce such provision or any other part of these Terms in the future.

Force Majeure

Neither party shall be liable for any delay or failure to perform obligations (excluding payment obligations) due to events beyond their reasonable control, including but not limited to natural disasters, war, terrorism, civil unrest, labor strikes, internet outages, or government restrictions. Affected obligations will be suspended for the duration of the force majeure event.

By submitting feedback, you grant us a non-exclusive, worldwide, royalty-free license to use, modify, and incorporate it into our services without any obligation to compensate you.
